Special Members Meeting

We invite you to join us virtually on March 25th for a Special Members Meeting. This year’s meeting will be held online at 6:00 pm for the purpose of appointing three (3) new Directors to the Board. 

Given that three Director terms conclude on March 31, 2026 and we have three additional vacancies, and in accordance with the Ontario Not‑for‑Profit Corporations Act, 2010 (ONCA)—which requires that Directors of a membership‑based organization be elected or appointed by the Members unless otherwise provided in the articles of incorporation or by-laws —the Board of Directors is seeking to appoint  the three Directors prior to the start of the upcoming fiscal year and ahead of the Annual Meeting in September. 

As of October 18, 2024, compliance with ONCA came into force. Last year, the ICF Toronto’s Annual Meeting moved from being held in January to September, to be compliant with ONCA financial reporting requirements. With this shift, the terms of many Directors ending in March created a gap in our chapter leadership. Under ONCA, incoming Board candidates generally assume their governing positions upon Membership election at the Annual Meeting. Given the number of vacancies as of April 1, filling vacancies before the next Annual Meeting is a strategic imperative for realizing our goals of delivering high quality member programs and services.  

Your participation in this Special Meeting or voting by proxy is essential to ensure continued effective leadership and governance for our chapter, in alignment with ONCA. 

If you are unable to attend the meeting, we encourage you to complete your proxy by 1:00 PM (ET) on March 25, 2026.

  2. This takes you to ICF Toronto’s private, cloud-based membership software platform, Wild Apricot. Your votes are confidential and voting is open 24 hours a day, 7 days a week. Your vote is important and we encourage you to vote immediately!
